Issued by Newton & Frost Fencing Ltd

1. Definitions

In these Conditions of Sale:
a) “The Company” refers to Newton & Frost Fencing Ltd.
b) “The Building(s)” refers to any structure, erection, or components specified in the order, including all additional items as detailed therein.
c) “The Customer” refers to the individual, group, organisation, or entity purchasing the Building(s).

2. Variations

These Terms and Conditions may only be altered or amended with written confirmation from a Company Director.

3. Payment Terms

  • A non-refundable deposit of 50% of the order value is due at the point of sale.
  • The remaining balance must be paid no later than one working day prior to the scheduled delivery date.
  • Accepted payment methods include major credit/debit cards, bank drafts, or personal cheques. Payment is not considered complete until funds are cleared.
  • Ownership of the Building(s) remains with the Company until full payment is received, even if the risk has passed to the Customer. Until paid in full, the Customer holds the Building(s) in trust as bailee.
  • Failure to pay on time may result in delayed delivery and additional charges.
  • In case of default, the Company reserves the right to repossess any Building(s) for which payment has not been received. The Customer must allow access for repossession.

4. Order Details

  • If a Customer requests a delay in processing, the Company may revise pricing or require full upfront payment.
  • The Company reserves the right to make minor specification changes without prior notice.
  • Descriptive content, images, and statements in marketing materials are for illustrative purposes only and do not constitute a contractual obligation.
  • Any typographical or clerical errors are subject to correction.

5. Customer Responsibilities

  • The Customer is solely responsible for obtaining all necessary permissions, approvals, or consents.
  • The Customer shall indemnify the Company against any liability resulting from unauthorised erection or installation.
  • Timber is a natural material and may show knots, splits, warping, or movement. These are not considered defects.
  • While pressure treatment protects against rot, it does not make timber waterproof. Customers must treat the building with a high-quality, water-resistant paint or stain post-installation.
  • NFF strongly recommends fitting a vapour barrier during manufacture and using air vents to promote airflow. Corrosion of metal vents over time is not covered by the Company.

6. Delivery Terms

  • The Customer must notify the Company of any obstructions or hazards (e.g., overhead power lines) at the time of sale.
  • Full and accurate delivery address details must be provided.
  • All delivery timelines are estimates only. The Company is not liable for losses arising from delays due to the Customer, weather, transport issues, or events beyond its control.
  • If site access is limited, the Customer must inform the Company in advance. Failure to do so may result in additional charges, and the Building(s) will be left as near as possible to the site.
  • Adequate weekday access (7:30am–5:00pm) must be available on delivery day.
  • If the Customer chooses not to use Company installation services, they are responsible for arranging and covering their own installation.
  • Legal parking and any necessary permits must be provided by the Customer.

7. Installation Conditions

  • A minimum clearance of:
    • 600mm at the sides and rear,
    • 1.5m at the front, and
    • 1.5m above the roof is required.
  • The working area must be clear and safe, free from vegetation, debris, or obstructions.
  • The base must be level, firm, and completed. Turf or soil is not acceptable.
  • Unsuitable bases may result in additional charges for time and travel.
  • Concrete or brickwork must be completed two weeks prior to installation. A site inspection may be required.
  • Installation may be subcontracted.
  • The Customer must inspect the building within 7 days of delivery and notify the Company of any defects in writing. After this period, the building is deemed accepted.
  • The Company is not responsible for issues arising from untreated or improperly maintained timber.
  • Any required adjustments to doors or windows post-installation are the Customer’s responsibility.

8. Building Tolerances

  • Due to the nature of timber and manual processes, minor variations in dimensions or appearance may occur. These do not affect the structural integrity or function and are not grounds for refund or compensation.

9. Self-Installations & Alterations

  • The Company accepts no responsibility for self-installed buildings or any modifications made post-delivery.
  • Any alteration not carried out by the Company will void all warranties.

10. Adverse Weather Conditions

  • The Company is not liable for any damage caused by adverse weather conditions, either during or after installation.

11. Mobile Structure Placement

  • While the Company may provide advice, the Customer is responsible for choosing a level and stable site.
  • Poor placement may result in long-term structural issues due to settling.

12. Planning Regulations

  • It is solely the Customer’s responsibility to ensure compliance with planning and building regulations.

13. Changes to Terms and Conditions

  • The Company may update these Terms and Conditions at any time. The latest version supersedes all previous versions.
  • The Customer is responsible for reviewing the latest terms. This does not affect statutory rights.
